The below list represents all registered entities, both companies and close corporation, which by date of publishing the list, has not been in compliance to section 122A subsections (1), (3), (9) and (10) of the Companies Amendment Act, 2023 (Act No.4 of 2023) and section 16A subsections (1), (3), (9) and (10) of the Close Corporations Amendment Act, 2023 (Act No. 5 of 2023).

The list is therefore issued in terms of subsection 15 of sections 122A and 16A of the respective amendment acts, which reads as follows:

“(15) The Registrar must list a company that fails to comply with subsection (1), (3), (9) or (10) on an inactive list and thereafter deregister the company after six months from the date the company was listed.”

An entity that is listed as inactive, is therefore placed on temporary suspension from the Business Register at BIPA and is regarded as non-compliant and as if they are no longer registered. To remedy the latter, entities must therefore lodge with the Registrar all required Beneficial Ownership information before compliance status may be restored.

Any entity listed herein, which can provide evidence that they have submitted up to date and accurate Beneficial Ownership information to the Registrar, and should therefore not be reflected on the Inactive List, may lodge such objection with the Registrar at compliance@bipa.na and place in the subject line “Object to inactive list”.

The list below is a live document and is updated periodically as the compliance status of businesses change.
