What is a Close Corporation?
A Close Corporation generally referred to as a CC is a legal entity that provides its members with limited liability.
Procedure to register a close corporation (CC)
You can apply for your Close Corporations as follows:
- Submit a name application/reservation form CC8. On approval of name reservation, submit a Founding Statement, form CC1. This requires the submission of the following documents:
- Copy of the approved form for name reservation
- Founding statement in (triplicate)
- Consent letter from the accounting officer
- Certified copies of IDs for all the members and witnesses
- For foreign Nationals, Certified Passport Copy – a required identification documentation from foreign jurisdictions should be notarised by a notary public in that country or alternatively contain the seal and certificate of an Apostille, as recognized in terms of the 1961 Hague Convention on Abolishing the Requirement of Legalisation for Foreign Public Documents.
- Copies of Beneficial Ownership (BO) of all Owners
- A payment of N$150.00
- The turnaround time is 5 working days
If no identity document has been issued, a written statement to this effect must be attached.
Minor children and other persons under legal disability must be assisted by their parent, guardians or representatives, as the case may be and the capacity must be stated.
