Notice: Failure to hold an AGM
In terms of Section 187(8) of the Namibia Companies Act, 2004
(Act 28 of 2004) a company must notify the Registrar as to the
omission of an annual general meeting for the previous financial
year.
A Company which has failed to hold its annual general meeting
within the time or extended time contemplated in subsection (1)
or (4), or as directed by the Registrar under subsection (5), is
further liable to pay to the Registrar the prescribed additional fee
for every day during which the default continues but not exceeding
the prescribed maximum fee.
This Notice serves to inform the
public that as of 1 July 2019 the date
of the Annual General Meeting held
in respect of previous financial year
(if an extension of time was applied
for a statement in that regard) must
be inserted on the Annual Return
(Part A) on CM23.
Please note that as of the date
indicated above, CM23 forms, which
do not reflect the date on which the
AGM of the previous financial year
was held, will not be accepted by the
BIPA office.
