(RD NO 1 of 2021)
INTRODUCTION OF ELECTRONIC BUSINESS REGISTRATION CERTIFICATES FOR CLOSE
CORPORATIONS
The Business and Intellectual Property Authority was established to be the focal point for the
registration of business and industrial property. In a bid to improve the level of efficiency of the
services that BIPA provides, it’s imperative that we continue to devise innovative ways of utilising
technology to further enhance our effectiveness. It is important for our stakeholders to be kept
abreast of new developments within the authority, therefore we wish to bring the following to
your attention:
1. In line with the above, the newly incorporated Close Corporation (stemming from on-line
applications) will only carry an electronic seal and an abridged entity profile (samples
included). Subsequently there is no need to require the CC1 form for online processing.
2. Therefore, a certificate of incorporation (as per the sample included here), shall be valid for
all purposes of businesses transactions; inclusive, but not limited to, the application for
accounts at banking institutions. This certificate does not replace the existing founding
statement, but rather acts as an electronic version of same.
3. This new on-line process, and requirement for supporting documents, are in addition to the
submission channels we are already providing. However, the above directive is only
applicable to applications lodged on-line.
4. The manual and online applications will continue until such a date as the Registrar directs.
Entities will receive both types of CC1 certificates, until further notice.

searching for the specific entity under “business name search” or alternatively, sending an
